Governance and Working Parties Manager

Job description

A charity are looking for a Governance and Committees Manager to be the lead manager for the governance policies and procedures of the organisation, ensuring effective coordination of board and committee work-streams, compliance with legal requirements and best practice.

Ideally, ICSA qualified you will be responsible for Company Secretary duties and for updating governance policies and procedures.
You will work closely with the senior management team and board and will lead the Secretariat team (currently four direct reports) in co-ordinating the Board and Committee work programme together with specific project related work. This will include managing the election and appointments process for board and committee members.

You will also oversee the administration of the organisation's grants, honours and awards process, through to the presentations at the annual conferences.
You will play a key role in information governance, including the implementation of the Association's data protection and version control processes.

Key Responsibilites:
-To be responsible for Company Secretary function supporting the Executive Director and the Senior Management Team.
-Provision of information for boards / committees, the Executive Director and the Senior Management Team to ensure efficient running of the Committee structure.
-To ensure Board, Trainee and Officer elections take place as per the constitution.
-Provision of advice and guidance to Committees / Boards, Executive Director, Senior Management Team and managers evidenced by full compliance with regulatory framework.
-Lead the review, maintenance and application of governance for the various Committees.
-Oversee the working party process from development of the draft guideline through the peer review and consultation process to publication and dissemination of the guidance.
-Ensure all contracts with third parties as part of Company Secretary function are stored centrally, both hard and soft copy, with key dates registered and actioned, including renewals / terminations and liaise as necessary with relevant responsible staff to ensure contractual compliance and benefit capture.
-Ensure an effective project management process is applied and continuously improved across the Secretariat team.

Skills and Experience required:
-Relevant professional qualification (ICSA preferred)
-Previous experience of Company Secretary duties
-Prior experience of supporting Boards, Committees and Senior Management
-Demonstrable experience of leading and managing people
-Strong project management skills
-Knowledge of GDPR and the impact of this on a business such as the Association
-Demonstrable experience of developing and maintaining effective relationships with key stakeholders
